End User License
Agreement

You are strictly prohibited from the following actions with respect to the Licensed Application:

• Accessing, copying, distributing, or reverse engineering the Licensed Application
• Reproducing, decompiling, disassembling, or modifying the source code, object code, underlying design, or algorithms
• Using, distributing, or commercialising the Licensed Application outside the scope of this EULA

• You may not allow any third party to access, share, lend, or time-share the Licensed Application except as permitted under this EULA
• Selling, renting, leasing, transferring, or assigning any part of the Licensed Application is prohibited
• You may not use the Licensed Application to create a competing battery or product
• Copying, downloading, or republishing any portion of the Licensed Application is not permitted
• The Licensed Application may not be used for illegal, harmful, or offensive purposes, or to transmit or store harmful content
• You must not use the Licensed Application to upload viruses, impair systems or networks, or engage in malicious activities
• You are prohibited from altering the functionality of the Licensed Application, including inserting additional hardware into battery packs
• Circumvention of copyright protection features within the Licensed Application is strictly prohibited

By using the Licensed Application, you represent and warrant that:

• You are authorised to use the Licensed Application and the generated Data
• You are not restricted from using the Licensed Application under any agreements or legal obligations
• Your use of the Licensed Application complies with all applicable laws
• You are responsible for ensuring compliance with laws governing the collection, usage, processing, and disclosure of the Data

The Licensed Application generates Data from the battery packs (referred to as "battery pack(s) or FlexiPack") — batteries developed by Encrate and either sold to you or included in battery-enabled vehicles sold or leased to you.

The Licensed Application should be accessed only from a secure environment. Any sharing of Data is at your own risk. You are responsible for maintaining the security of your access credentials and any environment from which the Licensed Application is accessed.

• The Licensor exclusively owns all intellectual property rights to the Licensed Application, including updates, enhancements, or derivatives
• Using the Licensed Application does not transfer any ownership rights to you
• All trademarks, graphics, and content within the Licensed Application are the sole property of the Licensor and must not be used without permission
• Feedback or suggestions you provide may be incorporated into the Licensed Application — the Licensor retains an irrevocable, perpetual licence to use them

• You assume full responsibility for using the Licensed Application
• The Licensed Application is provided "as is" without warranties — including implied warranties of merchantability or fitness for a particular purpose
• The Licensor is not liable for any indirect, incidental, or consequential damages arising from the use of the Licensed Application

The Licensed Application contains proprietary information and trade secrets. You must keep this information strictly confidential and ensure that any end-users to whom you transfer battery packs or battery-enabled vehicles comply with these confidentiality obligations.

The Licensor reserves the right to modify or terminate this EULA upon notice. Upon termination — for any reason — you must immediately cease using the Licensed Application and destroy any copies in your possession.

This EULA is governed by the laws of the Republic of India. Any disputes arising under or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.
