Please read these Terms of Services carefully before using any products, software, or services offered by The Energy Company (TEC). By accessing or using our offerings, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.

Acceptance of Terms

These Terms of Services ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and The Energy Company Private Limited ("TEC," "we," "our," or "us"), a company incorporated under the laws of India.

By purchasing, installing, accessing, or using any TEC product or service — including FlexiPack, FlexiMax, FlexiLoad, FlexiPod, FlexiPower, and the FlexiTwin software platform — you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Note: If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

TEC reserves the right to update these Terms at any time. Continued use of our products or services after any modification constitutes acceptance of the revised Terms.

Products & Services

TEC offers a full-stack energy storage platform comprising hardware products, digital software, and associated services. Our offerings include:

Mobility Hardware

FlexiPack, FlexiMax, FlexiLoad — EV battery systems for 2W, 3W, and material handling equipment.

Stationary Hardware

FlexiPower, FlexiPod — residential and commercial energy storage, replacing diesel generators.

Software Platform

FlexiTwin — AI-powered digital twin platform with Battery Aadhaar identity, predictive analytics, and remote monitoring.

Support Services

Installation, maintenance, Battery-as-a-Service (BaaS), and technical support offerings.

Product specifications, performance benchmarks, and service scope are defined in the relevant product documentation, purchase orders, or service agreements provided at the time of sale. TEC reserves the right to update, modify, or discontinue any product or service with reasonable notice.

User Obligations

As a user of TEC products and services, you agree to the following:

Proper Use

  • Use TEC products only for their intended purpose as described in the product documentation.
  • Follow all installation, operating, and maintenance guidelines provided by TEC.
  • Not attempt to modify, reverse-engineer, tamper with, or disassemble any TEC hardware or software.
  • Promptly report any defects, malfunctions, or safety concerns to TEC support.

Account & Platform Access

  • Maintain the confidentiality of your FlexiTwin platform credentials.
  • Not share access credentials with unauthorized parties.
  • Notify TEC immediately of any unauthorized account access.
  • Provide accurate and up-to-date information when registering products or creating accounts.
Unauthorized modification of TEC hardware or software may void your warranty and could pose safety risks. TEC accepts no liability for damages arising from improper use or unauthorized modifications.

Intellectual Property

All intellectual property associated with TEC's products and services — including patents, trademarks, trade secrets, software code, algorithms, product designs, and battery performance data — is the exclusive property of The Energy Company Private Limited.

What You May Do

  • Use TEC products and software as intended for personal or business operations.
  • Access and view data generated by your own registered TEC devices through the FlexiTwin platform.
  • Share anonymized performance outcomes for non-commercial, informational purposes with TEC's written consent.

What You May Not Do

  • Copy, reproduce, or redistribute TEC's proprietary software, algorithms, or Battery Aadhaar data infrastructure.
  • Use TEC's trademarks, logos, or brand assets without prior written authorization.
  • Claim ownership of any derivative works created using TEC's technology.
  • Use aggregated TEC battery data for competitive analysis or commercial licensing.
Battery Aadhaar™ is a proprietary TEC framework. The digital identity assigned to each TEC battery is owned by TEC and licensed to you for operational use only. TEC holds 6+ patents covering aspects of this framework and reserves all associated rights.

Data & Privacy

TEC's products collect operational data — including charge cycles, discharge rates, temperature readings, location data (where applicable), and battery health indicators — to power the FlexiTwin platform and improve product performance.

How We Use Your Data

  • To provide real-time battery monitoring and predictive maintenance alerts.
  • To improve TEC's AI and machine learning models for battery performance prediction.
  • To fulfil warranty obligations and diagnose product issues.
  • To generate anonymized, aggregated insights for product development (no personally identifiable information).

Data Ownership

Operational data generated by your TEC devices is co-owned. You retain rights to your device's operational outputs; TEC retains rights to the aggregated, anonymized dataset used to train FlexiTwin models. Full details are in our Privacy Policy.

TEC complies with applicable Indian data protection laws including the Digital Personal Data Protection Act, 2023.

Warranty & Liability

TEC warrants that its products will be free from material defects in workmanship and materials under normal use for the warranty period specified in your product documentation or purchase agreement.

Standard Warranty

Coverage details and duration specified in individual product documentation. TEC offers industry-leading warranty terms enabled by FlexiTwin predictive diagnostics.

Warranty Exclusions

Physical damage, unauthorized modifications, use outside specified parameters, or failure to follow installation/maintenance guidelines.

Limitation of Liability

To the maximum extent permitted by applicable law, TEC's liability to you for any claims arising from these Terms or your use of TEC products shall not exceed the amount you paid for the product or service giving rise to the claim.

TEC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or loss of goodwill, even if TEC has been advised of the possibility of such damages.

Payment Terms

All prices for TEC products and services are quoted in Indian Rupees (INR) unless otherwise stated. Prices are exclusive of applicable taxes (GST, etc.) unless explicitly noted.

  • Payment terms are specified in the relevant purchase order or service agreement.
  • For Battery-as-a-Service (BaaS) and subscription-based offerings, recurring fees are billed per the agreed schedule.
  • Late payments may attract interest at the rate permissible under Indian law.
  • All sales are final unless a defect is covered under warranty. Refund and return policies are outlined in your purchase agreement.
  • TEC reserves the right to suspend software platform access (FlexiTwin) in the event of non-payment for subscription services.
Transparent Pricing: TEC is committed to no hidden charges. What you see in your purchase order is what you pay.

Termination

Either party may terminate a service agreement or platform access arrangement in accordance with the terms specified in the relevant agreement.

Termination by TEC

TEC may suspend or terminate your access to the FlexiTwin platform or any service if:

  • You materially breach these Terms and fail to remedy the breach within 30 days of written notice.
  • You engage in unauthorized use, tampering, or reverse-engineering of TEC products or software.
  • Payment obligations remain unfulfilled beyond the agreed grace period.
  • Continued access poses a safety or legal risk.

Effect of Termination

Upon termination, your right to access TEC software platforms ceases. Hardware products purchased outright remain yours. TEC will provide a reasonable data export window for your operational data stored in FlexiTwin prior to deactivation.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution

  • Both parties agree to first attempt good-faith resolution of any dispute through direct negotiation.
  • If unresolved within 30 days, disputes shall be referred to mediation under the Mediation Act, 2023 (India).
  • Unresolved disputes thereafter shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in Bengaluru, Karnataka.
  • Judgment on an arbitral award may be entered in any court of competent jurisdiction.
Jurisdiction: Subject to the arbitration clause above, both parties submit to the exclusive jurisdiction of courts located in Bengaluru, Karnataka, India for any matters not subject to arbitration.
